ALL SALES ARE SUBJECT TO THE TERMS AND CONDITIONS CONTAINED HEREIN AND THEREFORE TO THE CONSENT OF THE BUYER. USE OF THE SITE CONTRIBUTES THE CONDITION OF USER OF THE SITE AND IMPLIES FULL AND UNRESERVED ACCEPTANCE OF EACH AND EVERY PROVISION INCLUDED IN THESE TERMS AND CONDITIONS. IT IS THE USER'S OBLIGATION TO READ THE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SITE AND ITS CONTENT. Our company supplies an integrated range of electronic components for the industrial, retail, service, school and leisure electronics sectors. Component supplies range from small batches required for R&D to large batches required in mass production. The components we deliver receive a close final inspection by our contractors and meet the commonly required standards.
1. PRODUCT BRANDS AND LINKS
This site may contain references to products produced and/or offered by other companies. Company and product names may be trademarks and logos and are the sole property of their respective owners. You acknowledge that RS MATION disclaims any proprietary interest in the trademarks and names of others, and may also have links to other websites owned and operated by third parties. RS MATION is not responsible for any information or operation contained on other pages via the link.
2. ACCEPTANCE OF ORDER
The receipt of electronic or other form of order confirmation does not signify our acceptance of your order; nor does it constitute confirmation of our offer to sell. RS MATION reserves the right at any time after receipt of your order to accept or reject your order for any reason or to supply less than you ordered of any item. Orders accepted by RS MATION may be cancelled by the customer with the written consent of RS MATION provided if such order is not "NC/NR", "Non-Cancellable/Non-Returnable", "Non-Standard Products" or products requested by a Purchase Order. Non-Standard Products are defined as products that are special orders, custom orders, non-standard products. Non-Standard Products cannot be cancelled and are non-refundable. In case of partial or total cancellation of an order or request whatever the reason all expenses and commitments assumed by RSMATION, with the manufacturer or third parties, will be paid by the Customer to RSMATION. Customer requests to reschedule are subject to RSMATION's acceptance. Orders cannot be cancelled or rescheduled after the order has been submitted by RSMATION to the shipping company. RSMATION reserves the right to allocate sales and limit quantities of selected products among its customers. Product specifications and availability are subject to change without notice.
3. PRODUCTS AND STOCK
We will ship your product as soon as it is available. Products are usually shipped the next business day. However, there may be times when the product you have ordered is out of stock, which will delay the fulfillment of your order. We will keep you informed of any product you have ordered that is out of stock and not available for immediate shipment. You may cancel your order at any time prior to shipment.
The information and photos of the products that appear on RSMATION are for reference only, assuming that they are the best approximation of the final product. RS MATION is not responsible for misinterpretations of the information published in the store, resulting in wrong decisions when purchasing.
4. PRIVACY
We keep your personal information private and secure. When you make a purchase through RS MATION, you provide your name, email address, credit card information, address, phone number and a password. We use this information to process your order(s), to keep you updated on your purchases and to personalize your shopping experience. Our secure servers protect your information using advanced encryption techniques and firewall technology. To keep you informed of our latest offerings, we may notify you of promotions, special offers and new additions to this store. You may unsubscribe from our newsletters by following the unsubscribe instructions in any email. or that you receive from us. We use "cookies" to keep track of your current shopping session to personalize your experience and so you can retrieve your shopping cart at any time.
5. RETURNS
1. Returns Customer must notify RSMATION within 20 days from the date of shipment of any defective product. (See RSMATION'S LIMITED WARRANTY for more information.) Returns are normally accepted after the 30-day period from the date of shipment has expired. If RSMATION agrees to accept a return, the cost of returning the merchandise must be prepaid by the customer. RSMATION will not accept COD shipments. Some products may require returning directly to the manufacturer. Contact a sales representative for a return materials authorization number and shipping instructions before returning the product. The foregoing statements regarding returns do not apply to non-returnable products. (See Non-Returnable Products section in these terms.)
2. Counterfeit Product Prevention Clause Only products that were originally shipped from RSMATION or from a supplier on behalf of RSMATION (direct delivery) will be returned to RSMATION. All others will be promptly placed on hold and removed or returned to the customer. Products returned by a customer to RSMATION, the Customer certifies that the products were purchased from RSMATION and there has been no substitution in whole or in part of the same product from another supplier, distributor or other source as the product. The return must be in its original packaging (manufacturer or RSMATION), in the same condition as received by the customer (except defective). ESD sensitive products must not be opened except under controlled conditions.
6. SHIPPING
Shipping Time - Most orders ship the next business day, provided the product ordered is in stock. Orders are not processed or shipped on Saturdays or Sundays, except by prior arrangement. We cannot guarantee an exact arrival time for your order. Please note that the shipping or transit times offered by this site or other sites are only estimates, as they will depend on the carriers. We therefore encourage you to order at the right time to avoid delays caused by shipping or product availability. Shipping times may vary depending on the country where the customer is located. As long as everything goes smoothly, the delivery time (from the time the order is paid for until it is received) for shipments by private courier is approximately 15 to 20 business days, or can be extended to 25 to 35 business days, depending on the characteristics of the products purchased. In the event of delays due to causes beyond RSMATION's control, such as airline delays, problems with local Customs, weather conditions, or any other cause beyond RSMATION's control, we will notify our customers via email, and we will try to give a new estimated date. It is the customer's responsibility to be in compliance with Customs, to comply with all provisions. In case of not complying with Customs provisions, the merchandise may be retained, and the customer must manage the withdrawal or total loss of the order. RSMATION does not carry out any Customs procedures, but these are managed directly by Courier and / or authorized customs agents.
7. TAXES
Our store will automatically charge and retain the applicable sales tax for orders to be delivered to addresses within the same country, state / province where RSMATION has a presence. For orders shipped to other countries, you (the buyer) are solely responsible for any taxes and other fees that may apply within your country.
8. TYPOGRAPHICAL ERRORS
In the event that a product is listed at an incorrect price due to a typographical error or mispricing information received from our suppliers, RSMATION shall have the right to refuse or cancel any orders placed for products listed at the incorrect price. RSMATION shall also have the right to refuse or cancel orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, RSMATION will issue a refund to your card in the amount of the incorrect price.
9. LIMITED WARRANTY.
Products sold by RS MATION carry the warranties offered by the manufacturer of the product, and there are no warranties for value-added services, services included with the products, or other services provided by RS MATION. CONTACT RS MATION BEFORE PURCHASING PRODUCTS TO REQUEST COPIES OF MANUFACTURERS' WARRANTIES. CUSTOMER IS RESPONSIBLE FOR INSTALLATION AND USE IN ACCORDANCE WITH MANUFACTURERS' INSTRUCTIONS AND RSMATION SHALL NOT BE LIABLE FOR A CUSTOMER'S IMPROPER SELECTION FOR A PARTICULAR APPLICATION OR OTHERWISE. No warranty shall apply if products are altered or modified after delivery by RSMATION. If RSMATION breaches this warranty, Customer's remedies are limited to (at RSMATION's option) (1) refund of Customer's purchase price for such Products (without interest); (2) repair of such Products; or (3) replacement of such Products; these remedies are contingent upon the Products being returned to RSMATION with acceptable proof of purchase, within 20 days of the date of delivery and with transportation charges prepaid by Customer. No warranty shall apply if the product has been subjected to misuse, static discharge, neglect, accident or modification, or welding. Customer acknowledges and agrees that no employee of RMATION is authorized to make any representation or warranty on behalf of RSMATION other than in this agreement. WITH RESPECT TO SOFTWARE AND OTHER AVAILABLE PRODUCTS, CUSTOMER ACKNOWLEDGES AND AGREES THAT RS MATION IS NOT ITS MANUFACTURER AND THAT THE SOLE WARRANTIES ARE THOSE OF THE MANUFACTURER, NOT RS MATION. THE DISCLAIMER IN THIS PARAGRAPH DOES NOT AFFECT THE TERMS AND CONDITIONS OF ANY MANUFACTURER'S WARRANTY. When purchasing software, Customer relies solely on the manufacturer's or licensor's specifications and not on any descriptions depicting the software that may be provided by RSMATION. If any support or maintenance is provided for such software, it must be provided by the manufacturer or licensor unless RSMATION expressly agrees to provide such support or maintenance in the software purchase order. In addition, Customer hereby waives any claim Customer may have against RSMATION based on liability or infringement or alleged infringement of any patent, copyright, trade secret or other intellectual property rights with respect to such software. Customer also hereby waives any right to indemnification from RSMATION arising from a claim against Customer made by a third party. EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS AND CONDITIONS, ALL IMPLIED WARRANTIES AND TERMS AND CONDITIONS (WHETHER STATUTORY OR OTHERWISE) ARE EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW. IN PARTICULAR, RS MATION MAKES NO WARRANTIES RELATING TO THE MERCHANTABILITY OF THE PRODUCTS OR THEIR SUITABILITY OR FITNESS FOR ANY PARTICULAR USE OR PURPOSE, OR RELATING TO INFRINGEMENT. THE PARTIES AGREE THAT WITHOUT THIS LIMITATION OF LIABILITY, RSMATION WOULD NOT HAVE AGREED TO THE PRICE OR THE TERMS AND CONDITIONS OF THIS AGREEMENT.
10. PAYMENT METHOD.
We accept credit cards, as well as PayPal and, depending on the country you are in, other local payment methods.
11. PAYMENT VERIFICATION.
Transactions made through RSMATION with international credit cards and PayPal are verified online at the time of purchase. If there is any problem or error in said transaction, it may be that the information entered for the card or PayPal account is not correct. In the event that the customer pays through a local payment method, we will receive a confirmation of payment from the method used, and we will let the customer know as soon as possible via email. You can also see it applied to your account on the web. It usually takes about 48 hours. In all cases, RSMATION does not guarantee the availability of the product. If it is not available at the time of processing the order, we will credit 100% of the value of the order to the customer's account on the web, so that they can make another purchase with the product or products they want.
12. LIMITATION OF LIABILITY.
CUSTOMER SHALL HAVE NO RIGHTS RELATING TO LOSS OF PROFITS, PROMOTIONAL OR MANUFACTURING EXPENSES, OVERHEAD, BUSINESS INTERRUPTION COSTS, LOSS OF DATA, REMOVAL OR REINSTALLATION COSTS, DAMAGE TO REPUTATION OR LOSS OF CUSTOMERS, PUNITIVE DAMAGES, INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, LOSS OF CONTRACTS OR ORDERS, OR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE, AND RSMATION SHALL NOT BE LIABLE FOR THESE. CUSTOMER'S RECOVERY FROM RSMATION ARISING FROM ANY CLAIM SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE AFFECTED PRODUCTS, REGARDLESS OF THE NATURE OF THE CLAIM, WHETHER IN CONTRACT, TORT, WARRANTY OR OTHERWISE. BEYOND IMPLIED WARRANTIES AND THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LIMITATION OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER APPLICABLE LAW, THE TERMS AND CONDITIONS OF ANY IMPLIED WARRANTIES THAT CANNOT BE DISCLAIMED ARE LIMITED TO THE EXTENT DESCRIBED IN SECTION 14 (DISPUTE RESOLUTION AND LIMITATION OF ACTIONS) HEREOF. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, OR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU, BUT WILL APPLY IN ANY EVENT TO THE MAXIMUM EXTENT PERMITTED BY LAW. IF FOR ANY REASON AN ARBITRATION CENTER OR COURT OF COMPETENT JURISDICTION FINDS THE FOREGOING LIMITATIONS TO BE INVALID OR UNENFORCEABLE UNDER ANY APPLICABLE LAW, CUSTOMER AGREES THAT RSMATION'S TOTAL LIABILITY FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION OF EVERY KIND OR NATURE WILL BE LIMITED TO ACTUAL DAMAGES WITHOUT REGARD TO ANY PUNITIVE OR EXEMPLARY DAMAGES PROVIDED BY APPLICABLE LAW. WARNING: If any of the Products Marketed by RS MATION contain chemicals that may cause cancer, birth defects or reproductive toxicity under certain conditions or at certain levels. RS MATION suppliers are responsible for proper identification and labeling of these Products.
13. TERMINATION.
Either party may terminate all or part of the other party's performance under a purchase order if there is a material breach of these Terms and Conditions. In the event of such breach, the affected party will provide the breaching party with written notice of the nature of the breach and the affected party's intent to terminate for breach. In the event the affected party fails to cure such breach within ten (10) days of notice, the affected party may, by written notice, terminate
14. DISPUTE RESOLUTION AND LIMITATION OF ACTIONS.
RSMATION and Customer agree that any Dispute shall be exclusively and finally resolved by arbitration administered by an arbitration center, subject to the provisions below. Customer and RSMATION may agree to another arbitration tribunal if such center ceases to operate. The arbitration will be conducted before a single neutral arbitrator and will be limited solely to the Dispute (defined below) between RSMATION and Customer. The arbitration, or any part thereof, will not be consolidated with any other arbitration and will not be conducted as a class action or lawsuit. The arbitration will take place in Santa Anita, Lima. Any award arising from such arbitration proceeding will be final and binding on the parties, and judgment may be entered in a court of competent jurisdiction. If a party brings a dispute in a court other than that of the Arbitrator, the arbitrator may award the other party reasonable costs and expenses, including attorneys' fees, incurred in continuing or dismissing such proceeding or in otherwise enforcing this dispute resolution provision. Customer understands that, absent this provision, Customer would have the right to litigate disputes in court, including the right to litigate class actions or lawsuits, and that Customer has expressly and knowingly waived those rights and agreed to resolve any disputes by binding arbitration in accordance with the provisions of this paragraph. For purposes of this provision, the term "Dispute" means any dispute, controversy, or claim arising out of or relating to: (i) this Agreement, its interpretation, or its breach, termination, applicability or validity, (ii) the related order to purchase, deliver, receive, or use a product or service from RSMATION, or (iii) any dispute regarding or relating to the relationship between Customer and RSMATION; in this Section 23, the term "RSMATION" means RSMATION, (Rs Components Sac.), its parents, subsidiaries, affiliates, directors, officers, employees, beneficiaries, agents, assigns, component suppliers (both hardware and software), or any third party providing products or services purchased or distributed by RSMATION. Any dispute must be initiated within one (1) year from the date of purchase or provision of the product in question, with the exception of a dispute based on breach of warranty, which must be initiated within ninety (90) days from the date RSMATION rejects a warranty claim under Section 9 of these Terms and Conditions. With respect to all disputes, the provisions of the United Nations Convention on Contracts for the International Sale of Goods 1980 (and its amendments, replacements or codifications from time to time) shall not apply.
